Terms of access and use

This document constitutes a public offer by Individual Entrepreneur PAVLO FEDOTOV (hereinafter — the Site Owner, Service Provider), duly registered and operating in accordance with the laws of Ukraine, to conclude a Service Agreement providing access to and use of the software (Service) through the website located at: https://seonix.ai (hereinafter — the Agreement) on the terms stated in this Offer.

The Offer is public and, pursuant to Articles 633 and 641 of the Civil Code of Ukraine, its terms are identical for all Users (Clients, Customers). Unconditional acceptance of all terms of this Public offer without any exceptions and/or limitations is deemed acceptance of this Public offer by the Service Provider and the Client, and the Agreement is automatically considered concluded. The fact confirming full and unconditional acceptance of the terms of this Agreement is the execution of a payment through the payment service https://wayforpay.com.

If you do not agree with any of the provisions of this Agreement, we suggest you decline the proposed services, as this Agreement is an adhesion contract (Article 634 of the Civil Code of Ukraine) and can be concluded only by the second party accepting the proposed agreement in its entirety.

Privacy policy https://seonix.ai/privacy-policy (hereinafter — the «Policy») is an integral part of the public agreement (public offer) for the provision of services for using the internet portal.

1. Definitions

Offer — a public proposal by the Service Provider addressed to an indefinite circle of persons to conclude this Agreement on the terms contained in it, including all annexes.

Services — the set of services provided by the Service Provider in the order and under the terms defined by this Agreement, which is an integral part of this Agreement.

Acceptance — full acceptance by the Customer of the terms of this Agreement.

Site owner — Individual Entrepreneur PAVLO FEDOTOV.

Service Provider — Individual Entrepreneur PAVLO FEDOTOV.

User/Customer — an individual, individual entrepreneur, and/or legal entity who intends to pay or has paid for a service of the Service Provider and accepts the terms of this offer.

Registration — completion by the User of the relevant form on the Site https://seonix.ai with the data required for identification.

Account data — information stored by the Service Provider that allows identifying the User and is necessary for managing and using the Service.

Personal account— a Site page that contains the User's order history made through the Site and the personal information provided during Registration. The Customer's personal account may also contain other information necessary to identify the User and process orders, the scope of which is determined by the Service Provider.

Privacy policy — a document attached to this Agreement, which is an integral part of it, establishing the rules of confidentiality followed by the Service Provider when providing services on the site.

Site — a website located on the Internet at: https://seonix.ai, including all its web pages.

Technical support — a set of measures that may be carried out by the Service Provider within the limits and scope established by the Service Provider to ensure the operation of the Service, including information and consulting support on the use of the Service.

Payment system — a payment organization, members of the payment system, and the set of relationships arising between them during funds transfer. Carrying out funds transfers is the mandatory function that the payment system must perform.

Payment organization — WayForPay LLC financial company, which defines the rules of the payment system, performs other functions for ensuring the operation of the payment system, and bears responsibility in accordance with applicable law.

WayForPay LLC (registration code 39626179) is a financial institution duly registered in accordance with applicable law, providing its services on the basis of the National Bank License for funds transfer without opening accounts No. 35 of 31.12.2015. WayForPay LLC website: https://wayforpay.com.

Payment operation (payment transaction) — an operation initiated by the payer, carried out according to a special procedure, using the technical means of the WayForPay system, organized by the operator using its own technical means and/or involving the technical and other capabilities of third parties, aimed at the transfer of funds from the customer of the website services https://seonix.ai in payment for the services provided by the Service Provider.

Payment transaction — a set of operations between the Customer (buyer of services), the Service Provider (seller of services), and WayForPay LLC for the purchase of services on the Site https://seonix.ai using a card as a payment instrument.

Service — any paid or free services provided by the Service Provider via the website https://seonix.ai, taking into account the functional capabilities of the Site.

2. Subject and terms of the agreement

2.1. The subject of the Agreement is the provision by the Service Provider to the Customer of services for using the Site https://seonix.ai with capabilities of SEO analysis, content generation, and automatic publishing for a fee according to the selected tariff plan on the terms of this Agreement.

2.2. The User places the order on the site https://seonix.ai independently through the Personal account according to the selected tariff plan.

2.3. When placing the order on the site https://seonix.ai the User is required to provide the following mandatory information necessary for the Service Provider to grant access to use the Site:

2.3.1. Surname, first name of the User;

2.3.2. email address of the User;

2.3.3. IP address of the User;

2.3.4. contact phone number of the User;

2.3.5. identification code for a legal entity or individual entrepreneur.

2.4. The Customer consents to the Service Provider's processing and use of personal data that may become known in the course of providing services, in accordance with applicable personal data protection law and the Privacy policy.

2.5. Only registered Users have the right to use the services. The Service Provider reserves the right to request confirmation of the data specified during registration at any time.

2.6. The User bears sole responsibility for the security of the chosen password and independently ensures the confidentiality of their password.

3. Service cost and payment procedure

3.1. Payment for using the Site https://seonix.ai is made according to the selected tariff plan shown in the User's Personal account.

Next, in another window you need to fill in your details and, once filled, click the GO TO PAYMENT button.

You will then be automatically redirected to the WayForPay payment system, where you need to enter the relevant details and complete the payment.

3.2. After funds are debited from your payment card, the payment receipt will be automatically sent to your email address.

3.3. The Service Provider has the right to unilaterally change the cost of Tariffs for granting access and use of the Service by publishing such changes on https://seonix.ai. Such changes take effect upon publication, unless a different term or procedure for entry into force is specified at the time of publication. In case of a change in the cost of Tariffs for granting access and use of the Service, the Service Provider notifies current Users of such changes 30 (thirty) calendar days in advance by sending a letter to the User's email.

4. Refund procedure

4.1. Funds credited to the Service Provider's bank account before termination of the Agreement are neither refunded nor compensated to the Customer.

5. Term of the offer

5.1. This Agreement enters into force for the Parties from the moment the Customer pays for the service of using the site.

5.2. To opt out of receiving site use services, it is enough for the Customer not to make a payment.

6. Informational and advertising materials on the Site

6.1. On the site, the Service Provider has the right to publish information, namely both its own news and publications and those of other authors with hyperlinks to other websites or resources, while the Service Provider is not responsible for the availability of external sites and resources, and is not responsible for advertising materials, products, etc., placed on those sites and resources or accessible through them.

Information means articles, texts, comments, drawings, photographs, screenshots, document scans, video, audio.

6.2. Under the terms of the partner program, advertising by third parties who are participants of the program is shown on the Site https://seonix.ai. The Service Provider is not responsible for the content of advertising on the Site https://seonix.ai.

7. Procedure for amending the Agreement (offer)

7.1. This Agreement may be amended (without any special individual notice to Users) by posting a new version on the Site, with a corresponding entry made on the Site https://seonix.ai.

7.2. Amendments to this Agreement and its annexes take effect from the moment they are posted on the Site https://seonix.ai.

8. Dispute resolution

8.1. All disputes and disagreements that have arisen or may arise between the Parties, including those related to the conclusion, performance, modification, or termination of this Agreement, including disputes over compensation for losses caused by breach of the Agreement, or recognition of its invalidity, are subject to resolution through negotiations or in accordance with applicable law.

9. Force majeure

9.1. In the event of force majeure circumstances arising from extraordinary events, including natural disasters, war, epidemics, revolts, power outages at the technical site, adoption by authorities of lawful decisions that prevent the Parties from fulfilling their obligations under this Agreement (Force majeure), the Parties are released from responsibility for partial or full non-fulfillment of obligations under this Agreement.

9.2. Upon the occurrence and cessation of force majeure circumstances, the Party for which it has become impossible to fulfill its obligations under the Agreement must, within 5 (five) calendar days from the date of occurrence of such circumstances, notify the other Party in writing (by registered letter, courier, fax, or email), listing in the notice the circumstances that prevent the fulfillment of obligations under this Agreement and the expected duration of their effect. The Party relying on force majeure is required to take all possible measures to reduce the negative consequences of such circumstances. Failure to comply with the requirements of this paragraph of the Agreement releases the Party from the possibility of relying on force majeure in case of partial or full non-fulfillment of the terms of this Agreement.
